Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Purple Cow’s websites, platform, and services.

1. DEFINITIONS

1.1 “Company” means Lumos Tech – FZCO, legal entity code 39926, Dubai Silicon Oasis, DDP, Building A1, 39926 – 001, Dubai, United Arab Emirates (“Purple Cow”, “PCOW”, “we”, “us”, “our”).

1.2 “Platform” means pcow.io, app.pcow.io, all related subdomains, dashboards, portals, and Purple Cow mobile apps.

1.3 “Business” / “Brand” means a legal entity or individual using the Platform to create campaigns or publishing requests.

1.4 “Creator” means an individual account providing UGC content services through the Platform.

1.5 “Nano Influencer” means a creator account categorized as nano-influencer based on follower count and eligibility criteria.

1.6 “Pro Creator / Pro Nano Influencer” means a creator account categorized as “Pro” by Company review, leveling, or eligibility rules.

1.7 “Publishing Workflow” means the media publishing request workflow and related services (e.g., press releases, articles, distribution, placements, publications, and publishing packages).

1.8 “Publishing Partner” means a publisher/media outlet/platform/channel/vendor that fulfills publishing requests on the Platform.

1.9 “Distribution Partner” means an entity that receives publishing requests and distributes them to one or more Publishing Partners under its control.

1.10 “Campaign” means a Business-created request for UGC / Nano Influencer deliverables on the Platform.

1.11 “AI Campaign” means a Business request for AI-generated content where deliverables are produced by Purple Cow’s team or systems and delivered to the Business.

1.12 “Content” means any deliverables, files, videos, drafts, scripts, copy, publishing submissions, articles, media, images, and materials uploaded or produced through the Platform.

1.13 “Wallet” means a stored balance system inside the Platform for Businesses and Creators (credits, earnings, refunds, adjustments).

1.14 “Packs” means prepaid bundles, credits, or custom packages sold through the Platform with expiration terms.

1.15 “Publishing Fee” means a platform fee historically charged when publishing a Campaign. Under the current V6Pro product the campaign Publishing Fee is $0; the term is retained only for legacy campaigns published under previous pricing versions where a Publishing Fee was charged.

1.16 “Service Fees” means platform fees (including, for example, funding purchase service fee) applied to certain transactions.

1.17 “TOS” / “Terms” means these Terms & Conditions.

2. ACCEPTANCE OF TERMS

2.1 By accessing, registering, browsing, or using the Platform or Services, you confirm you have read, understood, and agree to these Terms.

2.2 If you do not agree, do not use the Platform.

2.3 These Terms may be updated at any time. Updates become effective immediately upon posting at: pcow.io/terms-of-service. Your continued use constitutes acceptance.

3. PLATFORM ROLE & LIMITATIONS (VERY IMPORTANT)

3.1 Purple Cow is a technology marketplace and workflow platform. We facilitate connections, payments, workflow, approvals, and delivery tracking between user types.

3.2 Purple Cow is not:

the employer of any Creator, Provider, or Aggregator;

an agent of any Business, Creator, Provider, or Aggregator;

responsible for external platform actions (social platforms, publishers, courier companies, payment gateways);

guaranteeing results, performance, reach, conversion, publication acceptance, or campaign outcomes.

3.3 Each user is solely responsible for their own actions, compliance, and obligations.

4. USER TYPES & ACCOUNT STRUCTURE

4.1 The Platform may include distinct portals and experiences:

Business portal (Video Mode and available publishing workflows)

Creator portal (UGC + Nano Influencer)

Publishing Partner portal

Distribution Partner portal

Admin portal (internal)

4.2 Purple Cow may restrict features by role, eligibility, verification, compliance, location, or risk signals.

5. ACCOUNT REGISTRATION & SECURITY

5.1 You must provide accurate, complete, and current information.

5.2 You are responsible for: maintaining account security; keeping credentials confidential; all activity under your account.

5.3 Purple Cow may reject, suspend, limit, or terminate accounts at any time for risk, fraud, abuse, non-compliance, or operational reasons.

5.4 You may not create accounts to evade enforcement actions, bans, holds, restrictions, or negative trust signals.

6. ELIGIBILITY & VERIFICATION

6.1 Creators must be 18+.

6.2 Purple Cow may require verification (ID, phone, email, entity verification, business proof, etc.) to protect integrity.

6.3 Creators may be required to upload portfolio/featured videos and other information to determine eligibility, category, and levels.

6.4 Failure to pass eligibility review may result in rejection or limited access.

7. CORE RULES (OFF-PLATFORM & CONTACT SHARING)

7.1 You may not attempt to bypass the Platform by: sharing phone numbers, emails, social handles, external links for negotiation/payment/delivery; moving payments or deliverables off-platform; negotiating outside the Platform to avoid fees.

7.2 The Platform may automatically detect and block contact-sharing attempts. Blocked messages may: not be delivered, show a warning, add trust penalties/blackpoints, trigger reviews or suspension.

7.3 Repeated violations may result in: account restrictions, wallet holds, permanent termination, forfeiture of balances where allowed by law and where fraud is involved.

8. CAMPAIGN TYPES & SERVICE FLOWS

8.1 Video Mode (UGC / Nano Influencer)

8.1.1 Business publishes a Campaign including requirements (duration, platform(s), language/dialect, gender preference, product type, on-site filming, etc.).

8.1.2 Creators may apply. Business may accept/reject applicants and hire selected Creators.

8.1.3 After hiring, creators deliver drafts through the Platform.

8.1.4 Business may approve or request edits according to Platform edit request options.

8.1.5 If Business approves the final deliverable, Creator becomes eligible for payout (subject to holds, disputes, fraud review).

8.2 AI Campaigns (AI Generated Videos)

8.2.1 Business pays immediately for the AI Campaign (including all applicable fees shown at checkout).

8.2.2 Purple Cow produces the deliverable and delivers the ready-to-post output to the Business.

8.2.3 Purple Cow may use third-party tools/providers to generate content; however, Business receives final deliverable through the Platform.

8.2.4 Delivery timelines may vary; estimates may be shown but are not guaranteed.

8.3 Publishing Workflow (Business)

8.3.1 Business creates a publishing request containing brief, publishing targets, content, and selections (partner/distribution partner/package).

8.3.2 Depending on the Business’s selection: If Business selects an Distribution Partner, the request is routed to that partner portal. If Business selects a Publishing Partner directly, the request is routed to that partner portal.

8.3.3 Publishing and Distribution Partners manage fulfillment workflow inside their portals (accept, schedule, request revisions, publish, upload proof, etc.).

8.3.4 Purple Cow may provide internal review, ticketing, and dispute pathways.

9. FEES, PAYMENTS, WALLET, AND PAYMENT SPLITTING

9.1 Platform Fees

9.1.1 Under the current V6Pro product, the campaign Publishing Fee is $0 — no Publishing Fee is charged when publishing a Campaign. Money is committed only when a Business hires a Creator (escrow) or tops up its wallet. A Publishing Fee applies only to legacy campaigns published under previous pricing versions, where any such historical fee remains non-refundable once successfully published.

9.1.2 Certain features may include Service Fees, including but not limited to: payment processing fees, funding purchase service fee, publishing workflow handling fees, package handling fees, dispute resolution/admin handling fees (where permitted).

9.2 Wallet Usage (Business)

9.2.1 If you have wallet balance, it is applied first to the payable amount.

9.2.2 Split payment example: If wallet balance = $100 and total payable = $300: $100 is deducted from wallet; remaining $200 is charged via payment gateway.

9.2.3 Once wallet balance is used, it becomes zero unless topped up or credited later.

9.3 Wallet Earnings (Creator)

9.3.1 Creator wallet reflects earnings from work accepted/approved under Platform rules.

9.3.2 Wallet amounts may be held temporarily for fraud review, disputes, chargebacks, compliance checks, or legal obligations.

9.4 Chargebacks & Payment Reversals

9.4.1 If a Business initiates a chargeback or payment reversal: Purple Cow may pause related deliverables, freeze wallets and payouts, reverse credits or balances, require additional verification.

10. “FUND PURCHASE” (CREATOR PURCHASE FUNDING)

10.1 If a Business chooses Fund Purchase: Business pays an amount intended for the Creator to purchase the product/service.

10.2 Creator must upload Proof of Purchase (image/pdf) before proceeding.

10.3 Once approved: Creator receives the funded amount minus the 1.5% service fee described in 10.4.

10.4 Service Fee Rule: Creator receives the full amount funded minus 1.5%, and the Business is charged the 1.5% service fee on top of the funded amount.

10.5 Fraud or manipulation in proof-of-purchase may result in: denial of funds, account suspension, wallet freeze, permanent ban.

10.6 Business must be able to view proof-of-purchase after it is uploaded and validated (subject to redactions for privacy where appropriate).

11. SHIPPING PRODUCTS (BUSINESS → CREATOR)

11.1 If Business ships products: Business is responsible for product legality, packaging, courier choice, customs, and compliance.

11.2 The Platform may display: courier name, tracking number, estimated arrival date, shipping status.

11.3 Purple Cow is not liable for: late delivery, lost parcels, customs delays, duties/taxes, delivery failures.

12. CONTENT RULES, QUALITY, WATERMARKS, AND EDITS

12.1 Creators must deliver content that matches the campaign brief and Platform requirements.

12.2 Draft Watermark Rule: The first draft may show a watermark. The watermark will be removed once Business approves the final deliverable (per Platform workflow).

12.3 Business edit requests must be made through the Platform.

12.4 Purple Cow may enforce limits on excessive revision cycles to prevent abuse.

13. INTELLECTUAL PROPERTY & LICENSES

13.1 Upon approval and payment completion under Platform rules, ownership transfers to the Business as defined by the workflow.

13.2 Strict AI/ML Prohibition: Business may not use Creator content for: training AI models, dataset generation, biometric analysis, face/voice cloning, unless explicitly agreed in writing with Purple Cow.

13.3 Purple Cow may retain a limited license to display content on the Platform for: portfolio viewing (where enabled), dispute resolution, moderation, internal QA, platform marketing only if allowed and configured.

14. PUBLISHING WORKFLOW SPECIFIC TERMS

14.1 Routing & Ownership

14.1.1 Business selects either: a Publishing Partner directly, or a Distribution Partner that controls multiple partners, or a package that includes multiple outlets.

14.1.2 Distribution Partner is responsible for distributing requests to the correct partners under its control.

14.2 Publication Outcomes

14.2.1 Publishing acceptance is subject to: editorial review, publisher standards, policy compliance, legal compliance.

14.2.2 Purple Cow does not guarantee publication acceptance unless explicitly stated as “guaranteed placement” under a package term shown at checkout.

14.3 Publishing Deliverables & Proof

14.3.1 Publishing or Distribution Partner must submit: publication URL or proof, scheduled date/time (if applicable), screenshots or confirmation evidence (if required).

14.4 Publishing Refund Eligibility

Refunds depend on: the publishing partner’s policies, whether the request entered production, whether publication is completed, the Refund Policy rules.

15. DISPUTES, TICKETS, AND ADMIN REVIEW

15.1 The Platform includes a ticketing system for: disputes, quality issues, payment conflicts, publishing fulfillment disagreements, shipping or funding purchase disputes, policy violations.

15.2 Purple Cow may: review content, review messages and flagged attempts, request evidence, restrict accounts, resolve disputes using internal policies.

15.3 Purple Cow may request limited access permissions to view relevant activity for dispute resolution (where applicable in the product).

15.4 Purple Cow decisions may be final where necessary to protect platform integrity, prevent fraud, or comply with legal obligations.

16. PROHIBITED CONTENT & BEHAVIOR

You must not use the Platform for:

illegal content

pornography/adult services

hate speech

harassment

fraud/scams

impersonation

spam/phishing/malware

fake identity or fake engagement

deepfake identity content unless disclosed and approved

off-platform coordination and payments

17. SUSPENSION, TERMINATION, AND ENFORCEMENT

17.1 Purple Cow may suspend/terminate accounts at any time for: fraud suspicion, policy violations, chargeback abuse, off-platform attempts, repeated low-quality delivery, legal/regulatory risk.

17.2 Wallet balances may be held where: required by law, necessary to investigate fraud, needed to resolve disputes/chargebacks.

18. DISCLAIMERS

18.1 Purple Cow provides the Platform “as is” and “as available”.

18.2 We do not guarantee: campaign results, performance, reach, conversion, placements, publication speed, creator response rates.

19. LIMITATION OF LIABILITY

19.1 Purple Cow is not liable for indirect, consequential, or punitive damages.

19.2 Maximum liability is limited to the lesser of: $20,000, or total fees paid by Business for the most recent applicable transaction.

20. INDEMNITY

20.1 Creators indemnify Purple Cow for claims arising from: content infringement, illegal behavior, misrepresentation, breach of obligations.

20.2 Businesses indemnify Purple Cow for claims arising from: products/services legality, ad compliance, misleading briefs, infringement in brand assets, publishing claims or publication disputes.

20.3 Publishing and Distribution Partners indemnify Purple Cow for: publication compliance, fulfillment failures caused by their actions, any third-party claims caused by their deliverables.

21. GOVERNING LAW

These Terms are governed by the laws of: the Emirate of Dubai, and applicable federal laws of the UAE.

22. ARBITRATION (DIAC)

22.1 Disputes shall be resolved by binding arbitration under DIAC rules unless otherwise required by mandatory law.

22.2 Claims must be individual only (no class actions).
